Terms of Service

1. Acceptance of Terms

By creating an account or using the Service, you represent that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• If using on behalf of an organization, you have authority to bind that organization to these Terms

2. Description of Service

Kardbrd is a kanban-based workspace platform designed for AI-assisted workflows. The Service includes:

• Creation and management of boards, cards, and checklists
• Collaboration features for teams
• Integration with third-party AI tools via Model Context Protocol (MCP)
• Attachment storage and activity tracking

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, complete information when creating an account and keep this information updated.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion, with or without notice.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service for lawful business and personal productivity purposes.

4.2 Prohibited Uses

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload, post, or transmit content that:
  • Infringes intellectual property rights
  • Contains malware, viruses, or harmful code
  • Is defamatory, harassing, threatening, or discriminatory
  • Violates privacy rights of others
  • Contains illegal content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) except through authorized APIs and MCP
• Resell or redistribute the Service without authorization
• Use the Service to build a competing product
• Circumvent any access controls or usage limits
• Misrepresent your identity or affiliation

4.3 Content Standards

Content you create on the platform must comply with applicable laws and not violate third-party rights.

5. AI Tool Integration

5.1 Your Responsibility

When you connect AI tools to your Kardbrd boards:

• You are responsible for the actions performed by AI tools on your behalf
• You must have authorization to use the AI services you connect
• You accept the terms of service of third-party AI providers

5.2 AI Tool Behavior

AI tools connected via MCP can read and modify your boards as you authorize. We are not responsible for:

• Actions taken by third-party AI tools
• Content generated by AI tools
• Errors, inaccuracies, or unintended modifications made by AI tools
• Data processing by third-party AI service providers

5.3 AI Output Disclaimer

AI-generated content may contain errors, biases, or inaccuracies. You are responsible for reviewing and verifying any AI-generated content before relying on it.

5.4 No Guarantee of AI Behavior

We do not guarantee that AI tools will behave in any particular way. AI technology is evolving, and behavior may be unpredictable.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by Kardbrd and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

6.2 Your Content

You retain ownership of content you create on the platform. By using the Service, you grant us a limited license to:

• Store, display, and transmit your content to provide the Service
• Create backups of your content
• Share your content with collaborators you authorize

6.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

7. Third-Party Services

The Service integrates with third-party services (AI providers, authentication services, etc.). These services have their own terms and privacy policies. We are not responsible for third-party services.

8. Payment Terms

8.1 Pricing Plans

Kardbrd offers the following plans:

8.2 Plan Types

One-Time Plans (Solo):

• Single payment provides permanent access to your workspace
• No recurring charges
• Workspace remains active indefinitely

Subscription Plans (SMB, Startup, Business):

• Billed monthly on a recurring basis
• Includes a 7-day free trial
• Access continues as long as subscription is active

8.3 Payment Processing

Payments are processed by Polar.sh, our merchant of record. By making a purchase, you agree to Polar.sh's terms of service. Polar.sh handles:

• Payment processing
• Sales tax and VAT collection
• Billing compliance

8.4 Plan Limits

Each plan has limits on boards, team members, and MCP connections:

• Boards: Maximum number of boards per workspace
• Members: Maximum team members who can be invited to boards
• MCP Connections: Maximum AI tool integrations via OAuth

If you reach your plan limits:

• You will be prompted to upgrade to a higher tier
• You cannot create new resources beyond your limit
• Existing resources remain accessible

8.5 Upgrades and Downgrades

Upgrades:

• Take effect immediately
• For subscriptions: prorated charges apply for the remainder of your billing cycle
• For Solo to subscription: subscription begins immediately

Downgrades:

• Take effect at the end of your current billing cycle
• You must reduce usage to fit within the new plan's limits before downgrading
• Downgrading from a subscription to Solo is not available

8.6 Cancellation

Subscription Plans:

• You may cancel at any time
• Access continues until the end of your current billing period
• No refunds for partial months
• After cancellation, your workspace will be archived but data retained for 90 days

Solo Plan:

• One-time purchase; no cancellation needed
• Workspace access is permanent unless you delete your account

8.7 Refunds

Refunds are handled by Polar.sh according to their refund policy. For refund requests:

• Contact [email protected]
• Include your account email and reason for refund
• Refunds are evaluated on a case-by-case basis

8.8 Price Changes

We may change prices with 30 days' notice. Price changes:

• Do not affect your current billing cycle (subscriptions)
• Do not affect existing Solo purchases

8.9 Free Access for Invited Users

Users invited to boards by workspace owners have free access. Only workspace creation requires a paid plan.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your requirements or that defects will be corrected.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KARDBRD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions
• Actions of third-party AI tools
• Content created by users or AI tools

10.2 Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

• The amount you paid us in the 12 months before the claim arose, or
• $100 USD

10.3 Essential Purpose

These limitations apply even if any remedy fails of its essential purpose.

11. Indemnification

You agree to indemnify and hold harmless Kardbrd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or upload
• Actions of AI tools you authorize

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us and attempt to resolve the issue informally for at least 30 days.

12.2 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

12.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts in California for any disputes.

12.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via:

• Email notification
• In-app notice
• Website announcement

Continued use after changes constitutes acceptance.

14. General Provisions

14.1 Entire Agreement

These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Kardbrd.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

14.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any successor.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
